South Dakota Registered Agent Requirements: Rules and Statute (2026)
Every South Dakota LLC must maintain a registered agent from the day it files until the day it dissolves. The appointment is written into the formation document itself, since SDCL 47-34A-203(a)(3) requires the articles to name an agent, and the governing law is SDCL ch. 59-11, South Dakota's adoption of the Model Registered Agents Act. This page explains what the statute demands, who may hold the role, and how changes are filed.
Who Can Serve Under SDCL 59-11-6
The appointment statute, SDCL 59-11-6, recognizes three ways to fill the position:
- A commercial registered agent, meaning a professional agent listed with the state under SDCL 59-11-7 and identified on filings by a CRA number
- A noncommercial registered agent, meaning an individual or a business entity with a South Dakota address; the Secretary of State expects individual agents to be at least 18 and South Dakota residents, and entity agents to be authorized in the state
- An office or position within the company itself, designated under SDCL 59-11-6(2)(b), so that whoever currently holds that title receives service of process
Can the LLC Act as Its Own Agent?
The precise answer has two halves. The company cannot list itself, as an entity, in its own registered agent slot; that arrangement is not among the statute's options. But self-service is still reachable in practice. An owner or officer who is a South Dakota resident can serve personally as a noncommercial agent, and the office-designation route under SDCL 59-11-6(2)(b) lets the company direct service of process to whoever holds a named internal position. What South Dakota rules out is only the circular form, an LLC naming the LLC.

Get StartedThe agent must have an actual street address or a rural route box number in South Dakota; a PO box on its own does not satisfy the statute. The state's own change form asks for an "Actual Street Address in this State" and treats a mailing address as a separate, optional line. Whoever serves must also be reachable at that address during normal business hours, because the whole point of the role is that a process server can always find someone.
Changing Your Registered Agent
South Dakota handles agent switches with a filing called the Statement of Change of Registered Office or Registered Agent or Both, submitted to the Secretary of State. The fee is $10 filed online and $25 on paper; the printed PDF shows $25 because mailed filings carry the state's $15 paper surcharge on top of the $10 statutory fee set by SDCL 59-11-3(3).
