South Dakota LLC Filing Fees in 2026: Formation, Annual Report and Agent
South Dakota's formation fee has held steady, but the recurring numbers moved recently. House Bill 1024 raised the Annual Report to $55 online and $70 on paper effective July 1, 2025, so any guide still quoting $50 and $65 is out of date. Below is every fee a South Dakota LLC actually pays, verified against the Secretary of State's fee schedule and the statutes behind it.

One variation on the first row: if the articles authorize the LLC to establish series, the fee schedule prices the formation filing at $200.
How the Paper Surcharge Works
Nearly every gap between the two columns above is the same $15. The Secretary of State adds a paper processing fee to mailed filings, which is why the articles jump from $150 to $165, the Annual Report from $55 to $70, and the agent change from $10 to $25. Filing electronically through the SOS Enterprise portal at sosenterprise.sd.gov avoids it every time.

Be careful with the state's own paperwork here: the printed PDF report form still displays the older $65 figure on its face, yet a mailed report today requires $70. What We Charge
- Formation: $199. We prepare and file your Articles of Organization, and the first year of registered agent service is included. South Dakota's $150 fee is paid to the state on top.
- Registered agent: $99 per year. That is the renewal price from year two onward, and also the standalone price if your LLC already exists and only needs an agent.
- Foreign qualification: $199 + state fees. For an LLC formed in another state that needs South Dakota authority; the state collects $750 for an online Certificate of Authority application, $765 on paper.
Year One, Then Every Year After
